Sub Contractor shall not sell or distribute any Products (including, but not limited to, first quality,
second quality, damaged or production overruns) to any person or business entity other than
Contractor or Company ; and Contractor and Sub Contractor agree that they shall be jointly and
severally liable to Companyin monetary damages for any unauthorized sale or distribution of such
Products by Sub Contractor.Such monetary damages shall be not less than the total number of
Products sold, multiplied by theunitary price of such Products, as resulting from Company’s price list.3. Payments
Sub Contractor hereby represents, warrants and agrees that Sub Contractor shall look solely to Contractor for any sums due Sub Contractor, including sums due for the manufacture of Products.
