5.2 The execution, delivery, performance and completion of this agreement and the Investor Rights Agreement by each of the Warrantors (as applicable) do not and will not violate in any respect any provision of (i) any law or regulation or any order or decree of any governmental authority, agency or court of any jurisdiction which is applicable to the Warrantor, any Group Company or any Associated Company; (ii) the laws and documents incorporating and constituting the Warrantor, any Group Company or any Associated Company prevailing as at the date of this agreement and as at Completion; or (iii) any mortgage, contract or other undertaking or instrument to which the Warrantor, any Group Company or any Associated Company is a party or which is binding upon it or any of its assets, and does not and will not result in the creation or imposition of any encumbrance on any of its assets pursuant to the provisions of any such mortgage, contract or other undertaking or instrument. 担保人（适用）各方在履行，交付，执行及完成本协议及投资者权益合同时，不得违反以下任何规定：（I）适用于担保人，集团公司或联营公司的政府机构，机关及辖区法院的法律，法规，条例或法令。（II）本协议从签定到完成时，担保人，集团公司或联营公司涉及之相关法律及文件。（III）任何的抵押，合同或其它担保或合同文件对于担保人，集团公司或联营公司来说是一个组织，或承担连带责任或是资产的一部份，按照这些抵押，合同或其它担保或合同文件的规定，不会导致其资产的债权的增加。
5.3 No consent, licence, approval or authorisation of or filing or registration with or other requirement of any governmental authority or agency in any jurisdiction which is applicable to the Warrantor, any Group Company or any Associated Company is required by the Warrantor, any Group Company or any Associated Company (as the case may be) in relation to the valid execution, delivery or performance of this agreement and/or the Investor Rights Agreement (or to ensure the validity or enforceability thereof). 关于本协议及/或投资者权益协议的有效执行，交付或履行（为确保有效性或法律的可执行性），没有该担保人，集团公司或联营公司（视情况而定）所要求的管辖区域的政府机构或代理行出具的同意书、许可证、批准或核准，或存档或登记或其他的必要条件。
