In consideration of NORPAC's agreement to purchase from Seller, Seller had provided to NORPAC its Guaranty.
Pursuant to that Guaranty, Seller further agrees to indemnify, defend and save NORPAC harmless from and against any and all claims, demands, actions, causes of action, charges and proceedings:
a. Brought by any governmental authority for or on account of any act or omission which constitutes a breach of any part of the Seller's Guaranty for which Seller is responsible, including the loss and expenses, if any, incurred by NORPAC as a result thereof; and,
b. Brought against NORPAC by any person, firm or corporation for the recovery of damages for injury, illness and/or death, or damage to property, including the loss of use thereof, on account of any act or omission which constitutes a breach of any part of Seller's Guaranty for which Seller is responsible.
This indemnification and hold harmless shall apply to any and all claims which may be brought against NORPAC, including, but not limited to, claims of customers, personnel, and the general public, and includes, but is not limited to, any judgment rendered against NORPAC and the reasonable attorneys fees and costs, if any, incurred by or on the behalf of NORPAC in connection therewith.
This is a continuing agreement to hold harmless and is only subject to revocation by the undersigned upon 30 days prior written notice.
